Job Purpose: Reporting to the head of Global Entity Management in New Zealand, you'll play a key role in our global business by providing high quality corporate secretarial, governance services and compliance including know your customer compliance, new client onboarding, and ongoing reviews. You'll contribute to the profitable growth and development of TMF Group by creating and maintaining strong and trusted customer relationships. You'll be a team player in a tight knit crew of professionals providing flawless service to our multi global national clients. Key Responsibilities: The Compliance Governance Assistant is part of a team responsible for assisting our global clients do business and stay compliant in New Zealand. You'll learn about company legislation, obligations, corporate governance, and gain exposure to other parts of our core business.
Creating the mandatory statutory records / register and regularly updating with copies of resolutions, changes in directors, shareholders, annual returns, financial statements, including scanning, photocopying (as required) Drafting of various resolutions like AGM resolutions, Special resolutions and Directors Resolutions. Assist in filing Annual Returns with the NZ Companies Office. Assist with drafting various Companies Office Forms, for review by the Manager. Assisting in updating Tracker as well maintaining compliance calendar. Maintenance and updating company software and applications. Assist in Billing / Invoices related matters. Emailing and/or posting client correspondences, as and when required. Assisting in Managing Governance Process, reporting for client directorship Portfolio Support TMF NZ Managers in their resident directorship roles to ensure they have continuing visibility of client operations and status. Review client files and manage data and document requirements for clients on timely basis. Review and update Directors Governance Spreadsheet, like renewal of D&O Insurance. Assist in onboarding new clients and continuing KYC and compliance issues All new clients are subject to standard on-boarding process. Gather all the required documents (depending on AML or non-AML) Set up new client files (hard copy as well as e-files) as per TMF NZ Policies Ongoing compliance and ensure Exit Sheets are completed. Compliance Under AML CFT Regulations Ensure to complete CDD and EDD as may be required for all new clients depending on the services being provided. Draft / Assist in the submission the Prescribed Transaction Reporting (PTR) as per AML Compliance on regular basis. Assist AML Compliance Officer for other projects / tasks as may be required to ensure that TMF NZ is compliant under AML CFT regulations. To be successful in this role, you'll have had experience (or want the experience) working in a professional environment with intention to learn or excel in compliance and governance in New Zealand. You will also be someone who can work under pressure and with tight deadlines. Most of our clients are based internationally so we are constantly working with short time frames. Your excellent communication skills will ensure you can solve problems, mitigating issues, and handling clients skillfully. General computer skills including Microsoft Office products and Outlook are essential in the role with the ability to learn new technology and software being essential. Professional Qualifications: Prior employment in a customer-facing role in New Zealand Excellent customer service skills, with strong written and verbal communication Preferably experienced graduate with legal and compliance knowledge with one – two years' experience Governance New Zealand qualified (highly valued) A great attitude with ability to work both independently as part of a team Self-motivation and ability to manage your time effectively What's in it for you?
