The role As our Legal Counsel you'll support our growth while ensuring legal compliance and risk management in Australia and New Zealand.
Reporting to the Head of Operational Risk, Legal and Compliance, you'll collaborate with C-suite executives and Directors, manage relationships with partners and vendors, and oversee contract reviews and corporate law for fundraising.
You'll also provide legal advice, manage funder communications, onboarding technology vendors, and advise on regulatory matters for new product launches.
What you will be doing Provide daily legal support across all business areas, including product, funding, procurement, finance, marketing, technology, customer resolutions, and sales.
Draft, review, and negotiate various commercial agreements (vendor, technology, partnership, NDAs).
Review and draft sales and marketing materials.
Manage customer contracts in Australia and New Zealand.
Support mergers, acquisitions, and corporate transactions as needed.
Assist with the legal aspects of funding transactions, including due diligence and document preparation.
Advise on ad-hoc legal matters as they arise.
Monitor regulatory changes and report relevant updates to the Head of Operational Risk, Legal and Compliance.
Identify and mitigate legal risks associated with Prospa's operations.
Develop and implement legal policies and procedures to protect Prospa's interests.
Manage relationships with external counsel for outsourced matters.
Provide administrative support for company secretarial services, ensuring timely management papers and attending ARC meetings.
Offer ad hoc assistance for Board meetings as needed.
Prepare and deliver legal training as requested.
What you'll need to succeed Tertiary qualifications in law and an Australia qualified lawyer with a current practising certificate.
Demonstrated 3-5 years PQE with a recognised Australian law firm or in-house legal team.
Strong understanding of contract law and corporate law.
Experience in the financial legal and regulatory environment preferred.
Experience dealing with technology vendors and contracts would be advantageous.
Attention to detail, particularly in relation to contract reviews, whilst maintaining an understanding of the commercial context.
Demonstrated ability to work in a fast-paced environment, with a high level of organisational skills.
Maturity and confidence to liaise with senior executives and Board members.
